What is the difference between the shares and votes % in the cap table

You can find shares and votes % in the cap table and this article explains the difference between the two

On the "Cap Table" page under "Ownership", you will see the percentage of shares and votes for each stakeholder.

If the "Only Ownership" box is left unticked, you will see the fully diluted cap table.

The votes and shares percentage will be different on the fully diluted cap table as the incentive pool taken into account in the shares percentage.

For example, if the available proportion of the incentive pool is equivalent to 10% of the total number of fully diluted shares, the share percentage of the stakeholders will add up to 90%.

However, as the available proportion of the option pool does not have any votes, the percentage of the votes that the stakeholders have will add up to 100%.

If you tick the "Only Ownership" button, the undiluted cap table will be displayed.

As you can see the votes and shares % is the same on this cap table. This is because it shows the individuals who currently own shares and other types of equity and the incentive pool.
